MY RODE REEL PROMOTION

TERMS AND CONDITIONS

  1. Instructions on how to enter the Competition and details regarding the Competition contained herein form part of these Terms and Conditions. Entry into and participation in this Competition is deemed acceptance of these Terms and Conditions. This Competition is not valid in conjunction with any other offer.
  2. The Competition is free to enter and open to any person except employees of RODE, but minors must have the written consent of a parent or guardian to enter and participate in the Competition.
  3. The Competition commences at 10.00 am AEST on 28 February 2014 (“the Commencement Date”) and closes at 11.59 pm AEST on 31 May 2014 (the “Closing Date”). The period between the Commencement Date and the Closing Date shall be the Competition entry period (the “Competition Entry Period”).
  4. To participate in the Competition, Entrants must write, create, record and edit in a digital video format the following original films:
    (a) a Short Film, of a minimum of 60 seconds and a maximum of 5 minutes in duration, of content of the Entrant’s choosing (the “Short Film”); and
    (b) a video, of a minimum of 60 seconds and a maximum of 10 minutes in duration, of the “behind the scenes” making of the Short film that must show a RODE microphone being used in the production of the Short Film (the “BTS Video”). The BTS Video must feature original footage of an actual (not photo or image) RODE microphone and its use in the production of the Short Film. RODE in its sole discretion shall decide on what constitutes a “behind the scenes” video of the making of the Short Film, and any such decision of RODE shall be final.
  5. The Short Film and the BTS Video must be the original work of the Entrant, and the Entrant must own the whole of the copyright in the Short Film. In circumstances where the Short Film and BTS Video or parts thereof are derived from or contain images or material from an existing work, the Entrants must ensure that they have received copyright clearance from the owner of that existing work. The Entrant shall indemnify RODE is respect of any and all liability arising from any infringement of copyright that may arise in respect of the Short Film and/or the BTS Video.
  6. The Entrant shall be the one individual most responsible for the creation and recording of the Short Film and the BTS Video
  7. To enter the Competition, after the Commencement Date and prior to the Closing Date the Entrants must first register their interest in the Competition by accessing the Registration Page at the website www.myrodereel.com, and entering their email address and any other details requested therein in the Registration Form. RODE shall then forward to the Entrant the Competition Entry Pack within one day of receipt of their entry, which contain entry instructions and scripting templates.
  8. Once the Short Film and the BTS Video have been completed and prior to the Closing Date, the Entrant shall:
    (a) visit the YouTube website, upload the Short Film and the BTS Video to YouTube adding ‘My RODE Reel’ to the Short Film name and the BTS Video name, and follow YouTube’s required steps to submit the Short Film and the BTS Video;
    (b) Thereafter and prior to the Closing Date, the Entrant must access the Competition Entry Page at the website www.myrodereel.com, and complete the Competition Entry Form by entering the details required therein in full, including but not limited to the full name of the Entrant, the address of the Entrant and all other contact details, the YouTube links to the Short Film and the BTS Video, and any other information requested therein;
    (c) The Entrant shall then receive an email confirming receipt of their entry by RODE, and stating that the acceptance of their entry by RODE is subject to moderation of their entry by RODE in its sole discretion;
    (d) RODE shall aim to moderate each entry within forty-eight (48) hours of receipt, but moderation may take longer due to the volume of entries from time to time;
    (e) If the entry is accepted by RODE following moderation, the Entrant shall receive a confirmation email of the acceptance of their entry, and provide the Entrant with a link to share their entry on the www.myrodereel.com website for voting purposes; and
    (f) If the entry is not accepted by RODE following moderation, the Entrant shall receive an email from RODE to the effect that it has not been accepted, the reasons for this, and details for the re-submission of their entry once any defects in their entry have been rectified to the satisfaction of RODE.
  9. Entrants must complete all of the steps itemized in paragraphs 7 and 8 above, to the satisfaction of RODE in its sole discretion, within the Competition Entry Period. RODE will not accept any entries made outside the Entry Period or by any means other than that prescribed in clauses 7 and 8 above
  10. By entering the Competition, Entrants acknowledge, agree and declare that they are aware that their participation is entirely at their own risk and that they hereby waive, surrender and relinquish in favour of RODE all claims of any nature and howsoever arising (including as a result of negligence) which but for this waiver, surrender and relinquishment they may or otherwise have against RODE either directly or indirectly arising out of their participation in the Competition.
  11. By entering the Competition, Entrants hereby warrant that all information submitted is true, current and complete. Any Entrants who have supplied incomplete, inaccurate or fraudulent information may be automatically disqualified. RODE reserves the right to disqualify any Entrant if RODE has reasonable grounds to believe that an Entrant has breached any of these terms and conditions or has tampered with the Competition process. Failure by RODE to enforce any of its rights at any stage of the Competition does not constitute a waiver of those rights.
  12. Incomplete, indecipherable or illegible entries will be deemed invalid. Entrants bear all responsibility to ensure that their entry is complete and legible, and that their Short Film and BTS Video is submitted in the correct format and clearly visible and audible.
  13. Only one (1) original Short Film and BTS Video shall be submitted per entry.
  14. The costs of entering the Competition shall be borne solely by the Entrants.
  15. The Entrants shall grant to RODE a nonexclusive, irrevocable licence to RODE to publish their Short Film and BTS Video in full on the RODE website, and in full or in part in any other promotional material of RODE, for the purposes of the Competition.
  16. Following the Closing Date, the entries to the Competition shall be judged in the following four distinct categories:
    (a) The Short Film Judge’s Category;
    (b) The Short Film People’s Choice Category;
    (c) The Short Film Sound Design Category; and
    (d) The BTS Video Category.
  17. One Entrant will be chosen for each category itemized in paragraph 16 above. The same Entrant may be chosen as winner of two or more of the categories itemized in paragraphs 16(a) to 16(c) above.
  18. The winner of the Short Film Judge’s Category shall be determined as follows:
    (a) A judging panel of industry experts shall be appointed by RODE in its sole discretion;
    (b) After the Closing Date, the judging panel shall view all of the Short Films entered by the Entrants;
    (c) On 18 June 2014, the judging panel shall determine the winner of this category in the judging panel’s sole discretion;
    (d) The judging shall be based only on the subjective personal opinions of the judging panel and shall be final;
    (e) RODE accepts no liability for the decisions made by the judging panel, and no correspondence will be entered into in this regard; and
    (f) The winner shall be entitled the Short Film Judge’s Category Winner’s Prize Pack
  19. The winner of the Short Film People’s Choice Category shall be determined as follows:
    (a) Any time after the Commencement Date until 11.59 am AEST on 23 June 2014 (the “Voting End Time”), any person may vote for their favorite Short Film that has been entered into the Competition by accessing the internet and logging their vote at myrodereel.com via their Facebook or Google account, or their email address. Each person may only vote once per entry, but may vote for multiple entries. Only 10 votes per entry, per IP address will be accepted by RODE, and RODE reserves the right to cancel any vote in circumstances where there is in RODE’s opinion any irregularity in the voting process;
    (b) The ongoing votes registered for each entry shall not be made available by RODE, but the ongoing cumulative ranking of each entry shall be displayed on the website www.myrodereel.com;
    (c) All voting will be completed by the end of the Voting End Time, and no votes submitted after the Voting End Time will be accepted by RODE;
    (d) The winner of this category shall be the entry with the most votes as at Voting End Time;
    (e) In circumstances where there are two or more entries that have tied as the most votes at the Voting End Time, RODE shall extend the votes for 24 hours until 11.59 am AEST on 26 June 2014 (the “Extended Voting End Time”) for the tied entries only, and the winner shall be the entry with the most number of votes at the Extended Voting End Time;
    (f) In circumstances where there are two or more entries that have tied as the most votes at the Extended Voting End Time, RODE shall extend the votes for successive 24 hour periods thereafter for the tied entries until the winner with the most number of individual votes can be determined; and
    (g) The winner shall be entitled the Short Film People’s Choice Category Winner’s Prize Pack
  20. The winner of the Short Film Sound Design Category shall be determined as follows
    (a) Ric Viers, Sound Designer and Author, shall be appointed by RODE as the judge of this category
    (b) After the Closing Date, Ric Viers shall view all of the Short Films entered by the Entrants;
    (c) On 11 June 2014, Ric Viers shall determine the winner of this category in his sole discretion;
    (d) The judging shall be based only on the subjective personal opinion of Ric Viers and shall be final;
    (e) RODE accepts no liability for the decisions made by Ric Viers, and no correspondence will be entered into in this regard; and
    (f) The winner shall be entitled the Short Film Sound Design Category Winner’s Prize Pack.
  21. The winner of the BTS Video Category shall be determined as follows:
    (a) A judging panel of industry experts shall be appointed by RODE in its sole discretion;
    (b) After the Closing Date, the judging panel shall view all of the BTS Videos entered by the Entrants;
    (c) On 16 June 2014, the judging panel shall determine the winner of this category in the judging panel’s sole discretion;
    (d) The judging shall be based only on the subjective personal opinions of the judging panel and shall be final;
    (e) RODE accepts no liability for the decisions made by the judging panel, and no correspondence will be entered into in this regard; and
    (f) The winner shall be entitled the BTS Video Category Winner’s Prize Pack
  22. The winners in each category specified in paragraphs 16 above shall be notified by email and on the RODE website on 26 June 2014. In circumstances where the voting has been extended in accordance with paragraphs 19(e) and/or (f) in the Short Film People’s Choice Category, the winner of that category shall be notified by email and their details published on the RODE website on the day after the winner has been determined in accordance with the procedure set out therein.
  23.   27. RODE in its sole discretion may award further Prize Packs to entrants, and the content of such Prize Packs and the criteria for winning such Prize Packs shall be notified by RODE from time to time as the case may be.
  28. The Prize Packs on offer in the Competition, in full or in part, are non-transferable, non-negotiable, non-refundable, are not redeemable for cash, and are subject to availability. RODE reserves the right to substitute any Prize Pack, in whole or in part, at any time.
  29. The first 1000Entrants approved pursuant to paragraph 8(a) above shall be entitled to receive a free ‘My RODE Reel’ T-Shirt, provided that they enter their address when they complete the Competition Entry Form.
  30. The Prize Packs shall be delivered to their respective winners at each winner’s address specified in the Competition Entry Form within six (6) weeks of 26 June 2014. All shipping, duty and import costs for the Prize Packs shall be borne by RODE. RODE shall not be liable for duty and import costs for shipping of the T-Shirts in accordance with paragraph 29 above.
  31. Each winner agrees to participate in reasonable post-competition publicity for RODE at RODE’s expense, including but not limited to their attendance for interviews, photographs, videos and any other promotional activity specified by RODE, and grant a nonexclusive, irrevocable licence to RODE to use their name, biographical details, photographs, videos, likenesses and any other information regarding the winner deemed appropriate for use by RODE for any promotional and marketing purposes by RODE for a period of one (1) year from the Closing Date.
  32. Each Entrant warrants that he or she has no other agreements or arrangements with any third parties relating to the performance, service, image, name or likeness and/or other rights that may interfere with his or her entry into the Competition and the execution of his or her obligations as the winner in this Competition.
  33. The terms and conditions of a related third-party supplier or suppliers of prizes may apply and shall be accepted by the winner or winners.
  34. If this Competition is interfered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of RODE, RODE reserves the right, in its sole discretion, to the fullest extent permitted by law (a) to disqualify any Entrant; or (b) to modify, suspend, terminate or cancel the Competition, as appropriate.
  35. Any cost associated with accessing the Competition website is the Entrant's responsibility and is dependent on the Internet service provider used. RODE makes no guarantee of the availability of its web services and will not be held responsible for interruption of service that may interfere with the ability to participate in the Competition.
  36. Except for any liability that cannot be excluded by law, RODE (including its officers, employees and agents) excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of this Competition, including, but not limited to, where arising out of the following:
    (a) any technical difficulties or equipment malfunction (whether or not under RODE's control);
    (b) any theft, unauthorised access or third party interference;
    (c) any entry that is late, lost, altered, damaged or misdirected (whether or not after their receipt by RODE) due to any reason beyond the reasonable control of RODE;
    (d) any variation in the type and specifications of the prizes to that stated in these Terms and Conditions
    (e) any prize that has not been received by the claimant after dispatch by RODE;
    (f) any prize that has been damaged in transit;
    (g) any tax liability incurred by an Entrant; or
    (h) use of the prizes.
  37. RODE collects personal information in order to conduct the Competition and may, for this purpose, disclose such information to third parties, including but not limited to agents, contractors, service providers, Competition suppliers and as required by law, to Australian or other regulatory authorities. The Competition is conditional on providing this personal information, and the purchaser consents to the provision of this personal information. RODE may, for an indefinite period, unless otherwise advised, use the information for promotional, marketing, publicity, research and profiling purposes, including sending electronic messages or telephoning the claimant. RODE shall maintain all personal information in accordance with its Privacy Policy. Entrants should direct any request to access, update or correct information to RODE.
  38. These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Entrants agree to submit to the non-exclusive jurisdiction of the courts of the State of New South Wales, Australia.
  39. RODE hereby reserves the right to change, suspend or cancel the Competition, or to change these terms and conditions, by notice on the RODE website. RODE shall not be required to specify any reasons for the changes and shall not incur any liability as a result.
